This legal agreement is an electronic record in terms of the Indian Information Technology Act, 2000 and rules there under as applicable and the amended provisions about electronic records in various statutes as amended by the Indian Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.
This legal document is published in accordance with the provisions of Rule 3 (1) of the Indian Information Technology (Intermediaries guidelines) Rules, 2011 and Rule 4 of the Information Technology (Reasonable security practices and procedures and sensitive personal data or information) Rules, 2011 of Information Technology Act, 2000 amended through Information Technology Amendment Act, 2008 that require publishing the Terms of Use and practices for access and usage of any functional Application.
This Platform is operated by Ayursutra Private Limited (hereinafter referred to as "We", "Our", and "Us") and operating under the brand name "Natyasutra" / "Natyasutraonline" ("Brand name"). We intend to ensure your steady commitment to the usage of this Platform and the services provided by us through our Platform "Natyasutra" ("Platform").
For the purpose of these Terms of Use ("Terms of Use"), wherever the context so requires, "We", "Firm", "Our", and "Us" shall mean and refer to the Platform .
"You", "Your", "Yourself", "User" shall mean and refer to natural and legal individuals who shall be users of this Application provided by us and who is competent to enter into binding contracts, as per Indian laws.
"Third Parties" refer to any application or individual apart from the Users and the creator of this Platform.
General Terms
The headings of each section in these Terms of Use are only for the
purpose of organizing the various provisions under these Terms of Use in
an orderly manner and shall not be used by you to interpret the
provisions contained herein in a manner inconsistent with these Terms of
Use. Further, it is specifically agreed by you that the headings shall
not have legal or contractual value on your usage of the
Application.
The use of this Platform is solely governed by these Terms of Use and the Privacy Policy that may be uploaded on the Platform, and any modifications or amendments made thereto by us from time to time, at our sole discretion. If you, as a user, continue to access and use this Platform, you are agreeing to comply with and be bound by the following Terms of Use and Privacy Policy.
You expressly agree and acknowledge that these Terms of Use and the Privacy Policy are co-terminus in nature and that the expiry or termination of either one will lead to the termination of the other.
You unequivocally agree that these Terms of Use and the Privacy Policy constitute a legally binding agreement between us, and that you shall be subject to the rules, guidelines, policies, terms, and conditions applicable to your use of the Application, and that the same shall be deemed to be incorporated into these Terms of Use and treated as part and parcel of the same. You acknowledge and agree that no signature or express act is required to make these Terms of Use and the Privacy Policy binding on you, and that your act of visiting any part of the Application constitutes your full and final acceptance of these Terms of Use and the Privacy Policy.
We reserve the sole and exclusive right to amend or modify these Terms of Use without any prior permission or intimation to you, and you expressly agree that any such amendments or modifications shall come into effect immediately. If you do not adhere to the changes, you must stop using the Platform at once. Your continued use of the Platform will signify your acceptance of the changed terms.
Platform Overview
Natyasutra is a pioneering e-learning platform dedicated to the
preservation and promotion of Indian classical dance, music, art, and
culture. It leverages digital technology to make the rich heritage of
various dance forms accessible to a global audience. The Platform offers
a comprehensive and personalized learning experience, including
lectures, tutorials, and full classes designed and choreographed by
masters of the art. Launched as a flagship project to permanently
preserve the rich art and cultural heritage of India, Natyasutra has
today become one of the most sought-after digital Indian dance and music
learning platforms across the globe.
The Platform shall be operational and provide services worldwide, including in different countries.
Registration
Registration on the Platform is mandatory for Users if the Users want
to make purchases from the Platform. The Users shall have to provide the
following information at the time of registration:
Subscription
A subscription refers to a payment arrangement that grants you access
to selected classes, videos, photos, choreographed content, and audio on
this Platform. By subscribing, you agree to provide accurate, complete,
and authentic personal and payment information. We reserve the right to
verify and validate the information provided by you at any time. If any
details are found to be false, misleading, or incomplete (in whole or in
part), the Company reserves the right to reject your registration or
suspend your access to the Platform without prior notice.
Subscription Duration
By paying the subscription fee for a specific time period, you will
receive access to the modules, lessons, and related updates or
notifications during that duration. Once the subscription period
expires, access to all modules and lessons will automatically be
discontinued unless renewed.
By confirming your acceptance of any service or subscription offered on the Platform, you agree to complete the associated transaction and make the required payment. Users are not permitted to indicate acceptance or initiate service requests without completing payment for the transaction.
Cancellation and Refund Policy
Please note that subscription fees once paid are non-refundable under
any circumstances, including cancellations, upgrades, downgrades, or
changes in pricing policy. Upon cancellation, your access will remain
active until the end of the paid subscription term, after which it will
automatically expire.
Online Payments
For making all payments for services on the Platform, you shall be
required to make payment through a third-party payment gateway that we
may have an agreement with. The payment gateway may additionally seek
information from you to process the payment for your purchase and may
additionally charge you the applicable payment gateway charges. The
payment gateway consists of Debit Card / Credit Card / Net Banking / UPI
and other wallet options. You shall be governed under the concerned
payment gateway’s Terms and Conditions and other policies for all
payment-related aspects. The terms and conditions may be amended,
changed, or modified from time to time by the payment gateway, and any
such amendments, modifications, or changes shall be effective
forthwith.
Terms and Conditions - Payment
Please read the following terms carefully before using the online
payment facility for any products, subscriptions, or services offered by
the Platform. By proceeding with any online payment through this
Platform, you acknowledge that you have read, understood, and agreed to
these Terms and Conditions.
a. Advance Payment Requirement: All payments for subscriptions, products, and services must be made in advance. Access to any content or services will be activated only upon successful completion of payment.
b. Price Changes: The Platform reserves the right to modify or revise the prices of its products, subscriptions, or services at any time without prior notice. However, such changes will not affect payments already completed prior to the revision.
c. Accepted Payment Methods: Payments can only be made through the designated online payment options provided on the Platform. Offline or unauthorized payment methods will not be accepted or processed.
d. Payment Accuracy and Liability: The merchant shall not be held responsible for payments failing to reach its account due to incorrect personal or account details provided by the user, errors by the user during the transaction process, or technical failures outside the control of the Platform. Similarly, the Platform is not liable for any payment refusal or decline by your bank, credit card, debit card, or net banking provider for any reason whatsoever.
e. Declined Payments: If your payment is declined, the Platform has no obligation to notify you of the decline. You are responsible for verifying with your bank or card provider that payment has been successfully processed and credited to the merchant’s account.
f. Limitation of Liability: Under no circumstances shall the Platform be held liable for any direct, indirect, or consequential losses, damages, or compensation resulting from the use or inability to use the website or its payment facility, any transaction errors, or any linked or third-party sites or services.
g. Pricing, Discounts, and International Payments: The final price payable for your subscription or purchase will be clearly displayed on the order page during checkout. Prices may vary over time. You agree to pay the amount specified at the time of purchase, including any applicable processing or transaction fees charged by your bank or payment provider. Eligibility for any discounts or offers will be determined at the time of subscription and cannot be modified during the active term. For customers outside India, all payments must be made in U.S. Dollars (USD).
h. Authorization of Payment: By submitting your payment details, you confirm that you are legally authorized to use the selected payment method and that the information provided is accurate. Any misuse or unauthorized use of payment instruments may result in cancellation of services and/or legal action.
Eligibility
You represent and warrant that you are competent and eligible to enter
into legally binding agreements and are of legal age, and that you have
the requisite authority to bind yourself to these Terms of Use in
accordance with the law. However, if you are a minor using this
Application, you may do so with the consent of your legal guardian. All
acts of a minor shall be deemed to be acts undertaken under the
supervision of their legal guardian.
You further represent that you will comply with these Terms of Use and all applicable local, state, national, and international laws, rules, and regulations.
You shall not use the Application if you are not competent to contract or are disqualified from doing so by any applicable law, rule, or regulation currently in force.
Content
All content displayed on the Application is subject to copyright and
shall not be reused by you (or any third party) without prior written
consent from us and the copyright owner.
You are solely responsible for the integrity, authenticity, quality, and genuineness of the content provided on the Application, and while feedback and comments by you may be made via the Platform, we bear no liability whatsoever for any feedback or comments made by other users or made in respect of any content on the Application. Further, the Application reserves the right to suspend the account of any user for an indefinite period, at the discretion of the Platform, or to terminate the account of any user who is found to have created, shared, or submitted any content or part thereof that is untrue, inaccurate, misleading, offensive, or vulgar. You shall be solely responsible for making good any financial or legal losses incurred through the creation, sharing, or submission of content or any part thereof that is deemed to be untrue, inaccurate, or misleading.
You have a personal, non-exclusive, non-transferable, revocable, limited privilege to access the content on the Application. You shall not copy, adapt, or modify any content without written permission from us.
Indemnity
You agree to indemnify, defend, and hold harmless us and our respective
associates, directors, officers, employees, and agents (collectively,
"Parties"), from and against any losses, liabilities,
claims, damages, demands, costs, and expenses (including legal fees and
disbursements in connection therewith and interest chargeable thereon)
asserted against or incurred by us that arise out of, result from, or
may be payable by us due to any breach or non-performance of any
representation, warranty, covenant, or agreement made, or obligation to
be performed, in accordance with these Terms of Use. Further, you agree
to hold us harmless against any claims made by any third party due to,
arising out of, or in connection with:
In no event shall we be liable to compensate you or any third party for any special, incidental, indirect, consequential, or punitive damages whatsoever, including those resulting from loss of use, data, or profits, whether or not foreseeable, and whether or not you had been advised of the possibility of such damages, or based on any theory of liability, including breach of contract or warranty, negligence, or other tortious action, or any other claim arising out of or in connection with your use of or access to the Application and/or the services or materials contained therein.
Limitation of Liability
We are not responsible for any consequences arising out of the
following events:
If the Platform is inoperative or non-responsive due to any connectivity errors associated with the internet connection, including but not limited to slow connectivity, no connectivity, or server failure
If you have provided incorrect information or data or for any deletion of data
If there is an undue delay or inability to communicate through email
If there is any deficiency or defect in the services managed by us
If there is a failure in the functioning of any other service provided by us
The Platform accepts no liability for any errors or omissions on behalf of itself, or for any damage caused to you, your belongings, or any third party, resulting from the use or misuse of the Platform or any service availed of by you through the Platform. The service and any content or material displayed on the service is provided without any guarantees, conditions, or warranties as to its accuracy, suitability, completeness, or reliability. We will not be liable to you for the unavailability or failure of the Platform.
You are to comply with all laws applicable to you or your activities, and with all policies, which are hereby incorporated into these Terms of Use by reference.
The Platform expressly excludes any liability for any loss or damage that was not reasonably foreseeable by the Application and which is incurred by you in connection with the Application, including loss of profits, and any loss or damage incurred by you as a result of your breach of these Terms of Use.
To the fullest extent permitted by law, we shall not be liable to you or any other party for any loss or damage, regardless of the form of action or basis of any claim. You acknowledge and agree that your sole and exclusive remedy for any dispute with us is to terminate your use of the Application.
Term
By paying the subscription amount for that particular time period, you
agree to receive updates and notifications along with access to dance
modules and lessons. After the subscription time period has expired,
access to classes and lessons will be cancelled.
You may terminate
your use of the Application at any time.
We may terminate these Terms of Use and close your account at any time without notice and/or suspend or terminate your access to the Application at any time and for any reason, if any discrepancy or legal issue arises.
Such suspension or termination shall not limit our right to take any other action against you that we consider appropriate.
It is also hereby declared that we may discontinue the Services
and Application without any prior notice.
Termination
We reserve the right, in our sole discretion, to unilaterally terminate
your access to the Platform, or any portion thereof, at any time,
without notice or cause.
We also reserve the universal right to deny access to you to any/all areas on the Application without any prior notice/explanation to protect the interests of the Application and/or other users of the Application.
We reserve the right to limit, deny, or create different access to the Application and its features concerning different users, or to change any of the features or introduce new features without prior notice.
You shall continue to be bound by these Terms of Use, and it is expressly agreed by you that you shall not have the right to terminate these Terms of Use until the expiry of the same.
Communication
By using this Platform and providing your identity and contact
information to us through the Platform, you agree and consent to receive
calls, e-mails, or SMS from us and/or any of our representatives at any
time.
You can report to contact@natyasutra.com if you find any discrepancy with regard to Platform or content-related information, and we will take necessary action after an investigation. The response with resolution (if any issues are found) shall be dependent on the time taken for investigation.
You expressly agree that notwithstanding anything contained herein above, you may be contacted by us (via, including but not limited to SMS, WhatsApp, phone call, email, in-person meeting, post) relating to any services availed by you on the Platform or anything pursuant thereto, and you agree to indemnify us from any harassment claims. It is expressly agreed by you that any information shared by us shall be governed by the Privacy Policy.
User Obligations and Formal Undertakings as to Conduct
You agree and acknowledge that you are a restricted user of this
Platform and you:
Agree to provide genuine credentials during the
process whenever required on the Platform. You shall not use a
fictitious identity to register. We are not liable if you have provided
incorrect information.
Agree to ensure the Name, Email address, Address, Mobile Number, Location, and any such other information that may be provided during account registration is valid at all times and shall keep your information accurate and up to date.
Agree that the user shall be entirely responsible for all activities that the user shall undertake post making the booking with the service provider/vendor and the user shall undertake sole responsibility towards any activities including but not limited to vehicle accidents, smuggling, trafficking, or any illegal or prohibited activities. Further, the user shall waive all its rights to undertake any action against us towards any breach of personally identifiable information.
You agree that you are solely responsible for maintaining the confidentiality of your account password. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to close your account at any time for any or no reason.
The user represents and warrants that the user shall undertake to exclude any liability and hold the Firm harmless for any legal action that may arise for the Firm due to the user’s activities which may involve any type of illegal activities in which the user undertakes to use the services of the vendor under the influence of drugs, alcohol, or for smuggling, trafficking, etc., which may or may not involve prohibited substances and commodities, or if there arises any legal action against the Firm under the provisions of the Indian Penal Code.
The user further represents and warrants that the discussions between the user and the artists/teachers shall be at their sole discretion and the Firm in no manner shall be made a party to such discussions that may involve the services to the user.
Authorize the Platform to use, store, or otherwise process certain personal information and all published content, responses, locations, user comments, reviews, and ratings for personalization of Services, marketing and promotional purposes, and for optimization of user-related options and Services.
Understand and agree that, to the fullest extent permissible by law, the Application or any of its affiliates or their respective officers, directors, employees, agents, licensors, representatives, operational service providers, advertisers, or suppliers shall not be liable for any loss or damage of any kind, direct or indirect, in connection with or arising from the use of the Platform or these Terms of Use, including but not limited to compensatory, consequential, incidental, indirect, special, or punitive damages.
Are bound not to cut, copy, modify, recreate, reverse engineer, distribute, disseminate, post, publish, or create derivative works from, transfer, or sell any information obtained from the Platform.
Agree that promotions and giveaways are governed by a different set of rules.
Agree not to access (or attempt to access) the Platform and/or the
materials or Services by any means other than through the interface
provided by the Platform. The use of deep-link, robot, spider or other
automatic devices, program, algorithm, or methodology, or any similar or
equivalent manual process, to access, acquire, copy, or monitor any
portion of the Application or its content, or in any way reproduce or
circumvent the navigational structure or presentation of the
Application, materials, or any content, or to obtain or attempt to
obtain any materials, documents, or information through any means not
specifically made available through the Platform will lead to suspension
or termination of your access to the Platform. We disclaim any
liabilities arising concerning such offensive content on the
Platform.
Expressly agree and acknowledge that the content
generated by the users and displayed on the Platform is not owned by us
and that we are in no way responsible for the content of the same. You
may, however, report any offensive or objectionable content, which we
may then remove from the Platform, at our sole discretion.
You further undertake not to:
Engage in any activity that interferes with or disrupts access to the
Platform or the services provided therein (or the servers and networks
which are connected to the Platform);
Impersonate any person or
entity, or falsely state or otherwise misrepresent his/her affiliation
with a person or entity;
Probe, scan, or test the vulnerability of the Platform or any network connected to the Platform, nor breach the security or authentication measures on the Application or any network connected to the Application. The user may not reverse look-up, trace or seek to trace any information relating to any other user of, or visitor to, the Application, or any other viewer of the Application, including any user account maintained on the Platform not operated/managed by the user, or exploit the Platform or information made available or offered by or through the Platform, in any manner;
Disrupt or interfere with the security of, or otherwise cause harm to, the Application, systems resources, accounts, passwords, servers, or networks connected to or accessible through the Application or any affiliated or linked Applications;
Use the Platform or any material or content therein for any purpose
that is unlawful or prohibited by these Terms of Use, or to solicit the
performance of any illegal activity or other activity which infringes
the rights of this Platform or any other third party;
Violate any
code of conduct or guideline which may apply to any particular Service
offered on the Platform;
Violate any applicable laws, rules, or regulations currently in force
within or outside India;
Violate any portion of these Terms of Use
or the Privacy Policy, including but not limited to any applicable
additional terms of the Application contained herein or elsewhere,
whether made by amendment, modification, or otherwise;
Commit any act that causes us to lose (in whole or in part) the services of its Internet Service Provider ("ISP") or in any manner disrupts the services of any other supplier/service provider of the Platform;
You hereby expressly authorize us to disclose any and all information relating to you in our possession to law enforcement or other government officials, as we may, in our sole discretion, believe necessary or appropriate in connection with the investigation and/or resolution of possible crimes, especially those involving personal injury and theft/infringement of intellectual property. You further understand that the Application might be directed to disclose any information (including the identity of persons providing information or materials on the Application) as necessary to satisfy any judicial order, law, regulation, or valid governmental request.
You agree to use the services provided by us, our affiliates, associates, consultants, and contracted companies for lawful purposes only.
You agree not to post any material on the Platform that is defamatory, offensive, obscene, indecent, abusive, or needlessly distressful or advertising any goods or services.
Suspension of User Access
Notwithstanding other legal remedies that may be available, we may, in
our sole discretion, limit your access and/or activity by immediately
removing your access credentials either temporarily or indefinitely, or
suspend/terminate your association with the Application, and/or refuse
usage of the Application, without being required to provide you with
notice or cause:
If you are in breach of any of these Terms of Use or the Privacy
Policy;
If you have provided wrong, inaccurate, incomplete, or
incorrect information;
If your actions may cause any harm, damage,
or loss to the other users or us, at our sole discretion.
Intellectual Property Ownership and Rights
The Platform, services, and Content are protected by copyright,
trademark, and other laws of India. You acknowledge and agree that the
Platform, services, and Content, including all associated intellectual
property rights, are the exclusive property of Ayursutra Pvt. Ltd. You
will not remove, alter, or obscure copyright, trademark, service mark,
or other proprietary rights notices incorporated in or accompanying the
Platform, services, and Content. All trademarks, service marks, logos,
trade names, and any other proprietary designations of Ayursutra Pvt.
Ltd. used on or in connection with the Platform, services, and Content
are trademarks or registered trademarks of Ayursutra Pvt. Ltd. in India
and abroad. As a customer, subscriber, or member, you understand and
agree that you are bound by the additional terms, guidelines, and
policies that apply to your usage of the Platform, services, and
Content.
Unless expressly agreed to in writing, nothing contained herein shall give you a right to use any of the trade names, trademarks, service marks, logos, domain names, information, questions, answers, solutions, reports, and other distinctive brand features, except according to the provisions of these Terms of Use that shall be available on the Platform. All logos, trademarks, brand names, service marks, domain names, including material, designs, and graphics created by and developed by either the Platform or such other third party and other distinctive brand features of the Platform are the property of the Platform or the respective copyright or trademark owner. Furthermore, concerning the Platform, we shall be the exclusive owner of all designs, graphics, and the like, related to the Platform.
You shall not use any of the intellectual property displayed on the
Platform in any manner that is likely to cause confusion among existing
or prospective users of the Platform, or that in any manner disparages
or discredits the Platform, to be determined at our sole discretion.
You
are aware that all intellectual property, including but not limited to
copyrights, relating to said services, resides with the associates /
artists, and that at no point does any such intellectual property stand
transferred from the aforementioned creators.
Disclaimer
You further agree and undertake that you are accessing the Platform at
your sole risk and that you are using the best and prudent judgment
before availing of any features on the Platform or accessing/using any
information displayed thereon.
You agree that any kind of information, resources, activities, or recommendations obtained/availed from the Application, whether written or oral, will not create any warranty, and we disclaim all liabilities resulting from these.
We do not guarantee that the features and Content contained in the Platform will be uninterrupted or error-free, or that the Platform or its server will be free of viruses or other harmful components, and you hereby expressly accept any associated risks involved with your use of the Application.
It is further agreed by you that the contents of this section shall survive even after the termination or expiry of the Terms of Use and/or Privacy Policy.
Dispute and Jurisdiction
In the event of any dispute arising out of or in connection with this
Agreement (including any question regarding its validity), the Parties
shall first attempt to resolve the dispute through Mediation. The
Parties agree to participate in good faith in at least one Mediation
session before initiating Arbitration.
If the dispute is not resolved through Mediation within 30 (thirty) days from commencement of Mediation, the dispute shall be resolved by Arbitration. The seat and venue of Arbitration shall be Thiruvananthapuram, Kerala. The proceedings shall be conducted in English.
This Agreement shall be governed by the laws of India. Subject to the above, the Courts at Thiruvananthapuram, Kerala shall have exclusive jurisdiction over all matters arising out of this Agreement.
Force Majeure
We will not be liable for damages for any delay or failure to perform
our obligations hereunder if such delay or failure is due to causes
beyond our control or without our fault or negligence, due to Force
Majeure events including but not limited to acts of war, acts of God,
earthquake, riot, fire, festive activities, sabotage, labor shortage or
dispute, internet interruption, technical failure, breakage of sea
cable, hacking, piracy, cheating, or illegal or unauthorized
activities.
